Membership Terms

Section 1 General Provisions

1.1 The Program and These Terms

The hurome Loyalty, Rewards and Referral Program (the "Program") is operated by Hurom Europe GmbH ("Hurom"), and these Terms govern the participation relationship between the member and Hurom. Points are aggregated across Shop and hurome Shop.

1.2 Changes

1.2.1 Changes to the Content of the Program

Hurom may modify, restrict or discontinue the Program where this is operationally necessary, and no additional costs arise for the member as a result. Changes that materially impair use will be notified two months before they take effect, and the member may terminate immediately at no additional cost.

1.2.2 Changes to These Terms

(1) Hurom may amend these Terms only where this is necessary because of changes in legislation or case law, in order to fill a gap in the rules, to introduce new functions or benefits, or to reflect the technical operating environment, and such amendments take effect only for the future. The value basis of points (1pt = €1), the purchase earning rate and the tier-based earning multipliers, and the entry thresholds of the tiers cannot be changed under the procedure laid down in this item; they are effective for a member only where that member has given individual and express consent. The minimum cart amounts under Section 4.3 may not be increased so as to exceed five times the maximum discount amount specified for the respective redemption tier.

(2) Hurom notifies the member individually, to the email address registered by the member, of the content of the amendment, the reasons for it and the date on which it takes effect, at least two months before that date, and at the same time clearly informs the member that failure to object will be deemed to constitute consent, together with the manner in which and the deadline by which an objection may be raised. If that information is omitted, no deemed consent arises.

(3) If the member does not object before the date on which the amendment takes effect, the member is deemed to have consented to the amendment. An objection may be raised in no particular form to info@hurom-europe.com, and the version of the Terms in force before the amendment continues to apply to a member who has objected.

1.3 Relationship to Other Documents

FAQs, customer service information and marketing materials serve to explain these Terms; they do not form part of the contract, and where they differ from these Terms, these Terms prevail. Individual purchases, deliveries and returns are governed by the website terms and conditions and by the shipping, return and refund policy; for matters specific to participation in the Program, these Terms prevail.

Section 2 Membership

2.1 Joining

(1) Requirements. ① Purchase of a juicer officially sold in Europe by Hurom Europe GmbH and completion of product registration with the serial number on the official website (serial numbers of products purchased through an overseas affiliate cannot be used); ② a valid email address; ③ the capacity to enter into a contract. Membership is limited to one per person and per email address, may not be resold or used for commercial purposes, and organisations and associations are not eligible for membership. Recommending the Program privately to friends and acquaintances under Section 3.4 is not a commercial use. The commercial marketing of referral links, and participation in an affiliate programme, require a separate agreement and a separate registration. Products subject to a promotional discount (including ongoing price promotions) are treated, for the duration of that discount, as products excluded from redemption within the meaning of item ②. Discount codes are not applied to these products, and their value is disregarded when determining the minimum order value under Section 4.3 (2). This is indicated on the relevant product detail page before the order is placed.

(2) Formation of the membership. The membership is formed when the member agrees to these Terms in the product registration process. In that process Hurom clearly displays the fact that the process is not limited to product warranty registration but also constitutes joining the Program, the fact that the consent relates to these Terms, the period and the manner of exercising the right of withdrawal under Section 2.4, and the statutory withdrawal form, and records and retains the version to which the member consented and the date and time of that consent.

(3) Consent to receive marketing information. This consent is obtained as a separate item, distinct from the consent under item (2) of this Section, and is optional; withholding it entails no disadvantage for membership or for the earning and redemption of points. The consent constitutes the legal basis for sending, and actual sending begins only when the member has separately applied for a newsletter subscription and that subscription has been confirmed; the newsletter points under Section 3.3 are also credited at that time. Members who have only given consent without subscribing are not sent marketing information, including one-off promotions. A declaration of unsubscription is also processed as a withdrawal of this consent, and points already earned are not clawed back.

2.2 Account

The account and the points earned are attributed to the individual and may not be transferred, sold, given away or pledged as security. Members must keep the email address and name they have registered up to date; this is a precondition for the notices provided for in these Terms to reach them. A member whose participation has been terminated under Section 9 may not register a new account without Hurom's express consent.

2.3 Cancellation of Membership and Termination

(1) Members may request cancellation of their membership at any time by writing to info@hurom-europe.com. It takes effect on the day on which Hurom completes processing, and processing is completed within 14 business days of receipt of the request.

(2) On the date on which processing is completed, the accumulated points and the tier benefits are forfeited and are not restored. Upon re-joining, cumulative points earned start afresh from 0pt, and the welcome benefit under Section 3.7 and the referred-member benefit under Section 3.4 are granted once per member and are therefore not granted again. Hurom gives the member advance notice of these consequences and of the balance to be forfeited when the request is received.

(3) Termination by Hurom. Hurom may terminate a member's participation giving three months' notice; the member may redeem remaining points for three months after the date on which the termination takes effect, and unused points are forfeited at the end of the grace period. Sanctions under Section 9 are governed by Section 9.

2.4 Right of Withdrawal from the Membership Contract

(1) Members may withdraw from the Program membership contract within 14 days of the date of joining (the date on which product registration was completed), without giving reasons.

(2) Withdrawal is effected by a declaration that clearly expresses the intention to withdraw and may be made to info@hurom-europe.com or by post.

(3) The right of withdrawal under this Section is separate from the right of withdrawal in respect of individual purchase contracts, and withdrawal from the membership contract does not affect purchase contracts already concluded.

Section 3 Earning Points

3.1 Value of Points and Amount Bases

(1) hurome points are used for discounts at a ratio of 1 point (pt) = €1. Points are not cash, legal tender or a financial instrument and are not refunded in cash; Section 11.1 applies to their legal nature.

(2) Definition of the amount bases. These Terms use the following three amount bases, and each provision refers to one of them. Shipping costs are excluded from all three bases and are also not subject to discount codes.

3.2 Earning on Purchases

(1) Points are earned across all channels on the basis of the Earning Base Amount in accordance with the following table.

(2) Points earned are calculated to two decimal places. As conversion under Section 4.3 takes place only in whole units, fractional points remaining are added to points earned subsequently and may be used once they reach a whole number.

(3) In the event of a return or cancellation, the points earned on that transaction are automatically deducted; in the case of a partial refund, the points corresponding to the refunded amount are deducted; and the balance does not fall below 0pt.

(4) No points are earned on purchases made before joining (product registration) is completed, including the purchase of the juicer on which eligibility for membership is based.

3.3 Earning through Participation Activities

1pt for a newsletter subscription (after confirmation of the subscription under Section 2.1(3)) · 1pt for writing a product review (+1pt where a photo or video is attached, after the review has been published). The tier-based earning multipliers apply. Each of these points is granted once per activity and, in the case of several reviews of the same product, only once for the first review; the newsletter points are granted only once per member and are not granted again upon re-subscription. Points already earned are not clawed back even if the subscription is cancelled. Review points are granted irrespective of the rating given; we do not make the granting of points conditional on a positive review, and we publish reviews regardless of their rating.

3.4 Friend Referral

(1) The benefits for the referrer and the referred member under a friend referral are as set out in the following table.

(2) The tier-based earning multipliers do not apply to the referrer's points. The points are granted as a success-based referral premium for a successful recommendation made within the membership. The member does not owe Hurom any brokerage or intermediation service and does not thereby act in a commercial or independent professional capacity for Hurom. If the referred member's order is refunded, the points are deducted in proportion to the refunded amount, and if the Earning Base Amount falls below €100 as a result of the referred member's use of a discount code, the conditions for earning are not met.

(3) The referred-member discount code is provided only once per member and is not provided again in the event of re-joining or re-opening of an account. Hurom may verify referrals and reclaim points granted in the event of false, duplicate or self-referrals.

(4) The Program is single-level. Only a member's own direct recommendation is rewarded; a referrer receives no reward of any kind for recommendations subsequently made by the members they referred or by any further level. Each premium requires an actual purchase by the referred member; no reward whatsoever is granted for recruiting participants as such.

3.5 Confirmation and Correction of Earnings

Points are credited 14 days after dispatch, and if the order is cancelled or returned within that period they are automatically deducted. Where earnings are missing or incorrect, a correction may be requested from info@hurom-europe.com enclosing the order number or the receipt, and no time limit applies to such correction requests.

3.6 Excluded Products and Points-Only Exchange Products

3.6.1 Excluded Products

(1) Certain products or categories are designated as one of the following: ① products excluded from earning; ② products excluded from redemption (products to which discount codes do not apply); or ③ products excluded from both earning and redemption.

(2) The type to which each product belongs is shown on the product detail page before the order is placed, and no exclusion applies to products for which no such indication is given. Refurbished, second-hand and display products are designated as products excluded from redemption, and points are earned on them. This designation does not apply to the Welcome Discount Code under Section 3.7 or to the referred-member discount code under Section 3.4; both codes may be used for these products.

(3) The amount of products excluded from earning is excluded from the Earning Base Amount. In the case of products excluded from redemption, discount codes apply only to the remaining amount after deduction of the amount of those products, and the minimum cart amount under Section 4.3 is determined on the total product amount of the order, excluding the amount of products excluded from redemption.

(4) Hurom may change the designation of individual products; such changes apply only for the future and do not apply retroactively to points already earned or discount codes already issued.

3.6.2 Points-Only Exchange Products

Under the terms of agreements with partner companies, certain products may be designated as obtainable only by exchanging points, and this is indicated on the product detail page. The minimum cash payment requirement under Section 4.2(1) and the conditions of the redemption tiers under Section 4.3 do not apply to these products. No points are earned on their purchase, points used for the exchange are not restored, and returns and exchanges are governed by the individual policy stated on the product detail page.

3.7 Welcome Benefit on Joining

(1) Members who have completed product registration and joined are issued, on one occasion, a 10% discount coupon (the "Welcome Discount Code"). All products (except products excluded from redemption under Section 3.6.1) · Voucher Base Amount of €50 or more · 60 days from the date of issue · no differentiation by tier · not combinable (Section 4.2). It is not points.

(2) It is also issued once where members who completed product registration before the Program started are migrated. This benefit is provided only once per member and is not provided again in the event of re-joining or opening of a new account. For this purpose only, Hurom may retain the minimum information necessary to identify persons who have already received the benefit (such as a one-way encrypted value of the email address) even after the account has been deleted (Article 6(1)(f) GDPR).

Section 4 Redeeming Points

4.1 Methods of Redemption and Discount Codes

(1) There are only two methods of redeeming points, namely ① conversion into a discount code and ② the points-only exchange under Section 3.6.2, and no other form of redemption, such as the free exchange of products, the purchase of gift cards or store credit, is provided.

(2) A discount code is valid for 30 days from the date of issue, and a notification is sent to the member's registered email address before it lapses. If the code lapses, or if the member cancels it before use, the points used for its issue are restored to the member's account, and the validity period is recalculated as at the date of restoration in accordance with Section 6.1. The code applies only to the product amount of the order (excluding shipping costs, amounts for the purchase of gift cards and amounts of products excluded from redemption) and may be used only once from the member's own account.

(3) If an order in which a discount code was used is cancelled, or if the whole order is refunded, the code ceases to be effective and the points deducted are restored to the account. Where only part of the order is refunded, item (4) of this Section applies. However, as the Welcome Discount Code under Section 3.7 and the referred-member discount code under Section 3.4 are one-off benefits limited to one per member, they are not restored or re-issued in the event of a mere change of mind, cancellation of the order or a refund. Where, however, the cancellation is made for reasons for which the member is not responsible, such as where the member has had to cancel the whole order because Hurom's system does not permit the cancellation of only part of an order, then, by way of exception to the main provision of this item, in the case of a discount code converted from points the points deducted are restored to the account, and in the case of the Welcome Discount Code and the referred-member discount code a discount code on the same terms is issued again.

(4) Apportionment in the event of a partial refund. Where some of the products in an order are cancelled or returned, the points discount is deemed to have been allocated to the individual products in proportion to the product prices before application of the discount; the cash amount refunded is the price of the returned product less the discount allocated to that product, and the points allocated to the returned product are restored to the account. This restoration is carried out by Hurom without any separate request by the member, within 14 business days of the date on which the refund was completed. The validity period of the restored points is recalculated as at the date of restoration in accordance with Section 6.1(2). The discount allocated to the products retained remains in place, and even if the remaining amount thereby falls below the minimum cart amount, Hurom does not reclaim the discount already applied. This item also applies where the member exercises a right of withdrawal conferred by law, and the exercise of that right is not treated to the member's disadvantage.

4.2 Prohibition of Full Payment by Points and Restriction on Combination

(1) Points alone may not be used to cover the full payment amount, and every transaction must include payment of at least €1 by a cash-equivalent means of payment. This does not apply to the products referred to in Section 3.6.2.

(2) The discount codes under this Program (Section 3.7 welcome · Section 3.4 referred member · conversion of points · Section 3.6.2 points-only exchange) may not be combined with one another, nor with other discount codes or automatic discounts, and only one discount code may be used per order.

4.3 Redemption Tiers and Minimum Cart Amounts

(1) Members may convert the points they hold into a discount code by selecting one of the following four redemption tiers.

(2) The minimum cart amount is determined on the basis of the Voucher Base Amount under Section 3.1(2) and, in accordance with Section 3.6.1(3), is calculated on the total product amount of the order, excluding the amount of products excluded from redemption.

(3) The conditions of each redemption tier are the same irrespective of the member's tier; a redemption tier cannot be used if the member does not hold sufficient points; and only one redemption tier may be selected per conversion. In Redemption Tier 1 only, members may select the amount they wish, in units of one point up to ten points; from Redemption Tier 2 onwards, the points specified in the table are used in full.

4.4 Relationship with the Free Shipping Benefit

(1) The free shipping benefit applies to orders of the country-specific minimum order value for free shipping laid down in the shipping policy or more, and shipping costs are charged on orders below that value.

(2) Free shipping is determined on the basis of the Shipping Assessment Amount under Section 3.1(2), which uses a different basis from the minimum cart amount under Section 4.3 — Section 4.3 uses the amount immediately before the points discount is applied, whereas this Section uses the amount after the points redeemed have been deducted. Accordingly, if the use of points brings the amount actually paid below the minimum order value for free shipping, shipping costs may be charged, and this varies according to the redemption tier and the country of delivery. Cases in which the shipping costs charged exceed the value of the points redeemed arise mainly in Redemption Tier 1 under Section 4.3. Hurom displays the shipping costs on the checkout page, and the member may, after checking them, make the final decision as to whether and to what extent to redeem points.

Section 5 Tier System

(1) Tiers are determined automatically on the basis of the points earned cumulatively since joining; the entry thresholds and earning multipliers are as set out in the table in Section 3.2, and a tier once attained is retained while the Program is in operation. A reduction of the balance through the redemption of points or through expiry of the validity period does not affect the cumulative points earned. However, the tier may be downgraded only if earnings are subsequently cancelled so that the entry threshold is no longer met.

(2) The additional benefits by tier are: Seed the Welcome Discount Code (Section 3.7); Grow seasonal greeting gifts and offline events; Harvest priority purchase of certain products and invitations to VIP events.

(3) The additional benefits under item (2) of this Section are voluntary benefits of Hurom, and members have no claim to their provision or to their continued or unchanged provision. This also applies to the provision of purchasing opportunities (priority purchase, advance sales, invited participation), which confer on members no right of pre-emption and no claim to delivery. The benefits are not converted into cash or points, and Hurom may modify or discontinue them where there is good cause and determines their nature, quantity and timing and the conditions for participation.

(4) Item (3) of this Section applies only to the additional benefits under this Section and does not apply to the earning rates and tier multipliers under Section 3.2 or to Hurom's obligation to perform in respect of points already earned (Section 11.1).

Section 6 Validity and Forfeiture of Points

6.1 Validity Period

(1) The validity period of points is 365 days from the date of the last earning or redemption (activity). If there is a new earning or redemption activity within the validity period, the validity period of all points held is automatically renewed as at the date of that activity. If there is no earning or redemption activity for 365 days, the points held are forfeited in their entirety and are not restored.

(2) "Redemption" in this Section means converting the points held into a discount code and having that code issued. The validity period of points restored in accordance with Section 4.1 is recalculated as at the date of restoration.

(3) The validity period forms part of the conditions of performance laid down in these Terms, and no obligation to perform under Section 11.1 arises in respect of points whose validity period has expired. Hurom may invoke forfeiture under this Section only where it has complied with its duty of prior notification under Section 6.2. Hurom records and retains the date of forfeiture and the balance of points forfeited.

6.2 Duty to Give Advance Notice of Expiry

(1) Hurom informs members of the amount of points due to expire and of the expiry date 90 days and 30 days before the scheduled expiry date, through the email address registered by the member or the rewards widget within the Program. The information under this Section is not marketing information but a notice for the performance of these Terms.

(2) However, sending by email takes place, for system reasons, only for members who have consented to receive marketing information. For members who have not consented or who have withdrawn their consent, the information under item (1) of this Section is provided through the rewards widget within the Program, where members may check the amount of points due to expire and the expiry date at any time.

(3) Where a member has expressly refused the notices under this Section, or where a notice does not reach the member because the contact details under Section 2.2 are not valid, that circumstance is taken into account in the apportionment of the loss.

Section 7 Operation and Termination of the Program

The technical infrastructure of Growave (LLC „Growave“, 8 The Green STE R, Dover, DE 19901, USA) is used for the management of points and tiers in the Program. Where Hurom permanently terminates the Program, it gives notice by email or online announcement at least three months before the termination date and provides a grace period of three months for the redemption of remaining points. At the end of the grace period, unused points are automatically forfeited, and no obligation to make a cash refund or to pay damages arises as a result.

Section 8 Partner Products and Offline Events

The purchase contract for products ordered by the member on the platform is concluded between Hurom as seller and the member, and partner companies are not parties to that contract. Hurom does not promise the continued supply of, or the holding of stock of, any particular partner product. Retreats and events may be used only within the specified period of use; bookings not used for reasons attributable to the member lapse and are not refunded. Cancellation, modification and transferability are governed by the individual policy stated on each product detail page.

Section 9 Misuse and Sanctions

(1) Hurom may restrict access to an account or terminate participation in the Program where any of the following acts, or comparable acts, occurs or where there are clear indications of it (converting points into cash, selling them or transferring them without authorisation / fictitious transactions or sham orders / repeated re-purchasing after returns / obtaining benefits more than once through multiple accounts, or re-registration by a blocked user / abuse of the friend referral scheme / manipulation of points by exploiting system errors / obtaining improper commercial gain, such as by resale / improper abuse of the service and material breach of the contract).

(2) The legitimate exercise of statutory rights, such as the 14-day right of withdrawal and rights arising from liability for defects under EU law and the consumer law of the individual Member States, is under no circumstances subject to sanctions under this Section. Item (1) of this Section applies only to fraudulent or abusive patterns, and the existence of such a pattern must be proved by Hurom.

(3) Sanctions are divided into ① a warning and deduction of improperly earned points; ② termination of participation (points earned through misuse are forfeited in full, and a grace period of 30 days for redemption is granted for the remaining points); and ③ permanent suspension and forfeiture of remaining points where the misuse is serious or repeated and no explanation is given or the explanation is unfounded. Hurom notifies the member of the grounds and gives the member an opportunity to comment before taking measures ② and ③; however, where irreparable harm is to be feared unless immediate action is taken, Hurom may give notice without undue delay after taking the measure. If the explanation is well founded, the measure is lifted and the points are restored.

Section 10 Processing of Personal Data

The processing of personal data in connection with this Program is governed by the hurome Privacy Policy, and points, tier and transaction data are outsourced and processed by LLC “Growave” (8 The Green, STE R, Dover, DE 19901, USA) on the basis of a data processing agreement pursuant to Article 28 GDPR. Hurom does not process members' personal data obtained through the operation of the Program for purposes other than those laid down in these Terms and in the Privacy Policy. If a member's loyalty profile is deleted as a result of the exercise of the right to erasure, the points and the tier are forfeited and are not converted into, or restored as, cash or any other form of compensation.

Section 11 Limitation of Liability

11.1 Legal Nature of Points

(1) hurome points and the discount codes issued upon their conversion are a benefit which members may use as a discount when purchasing products on the conditions laid down in these Terms, and members may use them ① within the scope which satisfies the limits of the redemption tiers and the minimum cart requirements under Section 4.3 (in the case of the products referred to in Section 3.6.2, within the scope of the exchange laid down in that provision); ② within the scope in which the validity period under Section 6 has not expired; ③ within the scope in which the grace period following termination of the Program under Section 7 or termination under Section 2.3(3) has not expired; and ④ within the scope in which no ground for loss of eligibility under Section 9 has arisen. Beyond that scope, members have no claim to use, to retain or to obtain reimbursement of points.

(2) Changes to the Program and to these Terms under Section 1.2 take effect only for the future and do not affect Hurom's obligation to perform in respect of points already earned before the change. The conditions applicable at the time of earning apply to the conditions for the redemption of points already earned.

(3) Points and discount codes are not legal tender, electronic money or a financial instrument, cannot be exchanged for cash, are not recognised as assets in legal proceedings such as inheritance or gift, and may not be transferred to third parties.

11.2 Limitation of Liability in Damages

(1) Hurom is liable without any statutory limitation for damage caused intentionally or by gross negligence on the part of Hurom, its legal representatives, its employees or its vicarious agents. Providers of technical infrastructure engaged by Hurom for the performance of this Program, such as Growave, are vicarious agents within the meaning of this item.

(2) In the case of slight negligence, Hurom is liable only for damage arising from the breach of an essential contractual obligation (an obligation whose performance makes it possible in the first place to achieve the purpose of these Terms and on whose observance the member may regularly rely), and that liability is limited to the contractual damage typically foreseeable at the time the contract was concluded. Any further liability in damages is excluded.

(3) Items (1) and (2) of this Section do not apply to damage arising from injury to life, body or health, from the fraudulent concealment of a defect or from the assumption of a guarantee, or to liability under mandatory law such as the Product Liability Act; in such cases the limitations of liability also do not apply to injury caused by slight negligence on the part of Hurom's legal representatives and vicarious agents.

(4) Where Hurom's liability is excluded or limited, the same applies to the personal liability of its legal representatives, employees and vicarious agents. Where fault on the part of the member has contributed to the occurrence or the aggravation of the damage, the existence and the extent of the obligation to pay damages are governed by the applicable law.

11.3 Service Availability

Hurom does not guarantee the uninterrupted availability of the Program systems. Where a member has been unable to redeem points within the validity period because of a malfunction, that validity period is extended by at least 14 days from the date on which the malfunction was remedied, and where the points have already expired they are restored at the member's request. This Section does not limit Hurom's liability under Section 11.2.

Section 12 Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and the member's participation in the Program are governed by the law of the Federal Republic of Germany. Where the member is a consumer whose habitual residence is in a country other than Germany, this choice of law does not deprive the member of the protection afforded to the member by the mandatory consumer protection provisions of the law of that country of habitual residence; in so far as those provisions are more favourable, they apply with priority and the member may rely on them.

12.2 Resolution of Disputes

Disputes are to be resolved primarily by agreement, and members may contact info@hurom-europe.com at any time. Members who are consumers may bring proceedings before the court having jurisdiction at their place of residence in accordance with the applicable law, and these Terms do not restrict members' rights in respect of their statutory jurisdiction. Hurom is not obliged to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) and is not willing to do so.

12.3 Severability

If individual provisions are or become invalid or unenforceable, the validity of the remaining provisions is not affected.

12.4 Contractual Language

The contract language of these Terms is German. For members whose habitual residence is in Germany, the German version is binding. For other members, the version in the language in which the member completed the registration applies (currently German or English). The protection under Section 12.1 remains unaffected in either case.
